Title VII contains the penal provisions. They were reduced in view of the precepts of the new Penal Code. To eliminate doubts and avoid extravagant interpretations, art. 250 requires that the provisions of nos. I, III, VI and VIII of § 1° of art. 177 of the Penal Code be applied to companies in general.
With few modifications, title VIII reproduces the general rules of decree-law no. 2,627 of 1940.
“In Article 258, the draft bill requires that currently existing spanish bulk sms packages mutual profit-making companies be transformed into public limited companies or limited partnerships. It grants them a two-year period for this purpose, starting from the date the Code comes into force. The Minister of Labor, Industry and Commerce will exercise the necessary supervision over the acts relating to the transformation.”
The TRAJANO VALVERDE project constitutes a serious and notable attempt to provide the country with a Commercial Companies Code. It preserves the tradition of our law and strictly observes the wise lesson of GENY, verbatim :
“A good law, a good Code must, above all, contain the qualities required of every literary work, which is addressed to the intelligence and the will, rather than to the imagination and feeling: unity, order, precision and clarity.
“A commercial law requires, in addition to this good language, a well-cared-for technique, since this, far from hindering the plasticity of the law, of reducing its potential for ductility, has, precisely, the merit and the great virtue of facilitating it”.
